Terms of Trade for Businesses

BeautyDanmark is technically managed and administered by DataMatter ApS.

These terms apply to all businesses using the Beauty Danmark platform. These terms are B2B terms (business-to-business) and do not apply to consumers. Consumer protection laws, including the right of withdrawal, do not apply to these terms.

By creating an account, subscribing, or using our platform, you accept these terms of trade in their entirety.

Contract Formation

The agreement is formed when you:

  1. Create a business account on the platform and subscribe.

A subscription can only be created by accepting these terms of trade as well as our Subscription Terms.


Delivery and Activation

Access to the platform: Access to the platform is granted immediately after approved payment. You can immediately begin customizing your store profile.

Store profile activation: Your store profile is expected to be activated and published within 24 hours after a publication request, provided that the publication is approved. See the section on publication requests for further details.


Publication Requests

When you have customized your store or stores on the site, you must request to be published.

Safety net: This safety net is in place so that we can avoid any harmful links, illegal content, spam, misuse of the platform, or other harmful activity via publications.

Processing time: We always strive to review publication requests within 24 hours of receipt. The time that may be spent processing publications cannot be deducted from the subscription or refunded.

Rejection: If a publication is rejected, the reason for rejection will be stated, as well as instructions on how you can be approved. You can submit a new publication request after correcting the stated problems.

Confirmation: You will receive a confirmation email when your store is active and published, or if the publication request is rejected.


Service Availability and Service Level

Availability: We strive to keep the platform available 24 hours a day, 7 days a week. We cannot guarantee 100% uptime, but we aim for the highest possible availability.

Service level (SLA):

  • Planned maintenance: We provide at least 24 hours notice for planned maintenance when possible. Maintenance is typically scheduled outside normal business hours (22:00-06:00).
  • Unplanned outages: In case of extended outages, we will inform you via email or on our social media channels.
  • Support response time: We strive to respond to support inquiries within 48 hours on weekdays.

Operational risk: Any loss of availability due to system downtime, hacking attacks, or other factors that may negatively affect the website cannot be refunded for the agreement and is considered normal operational risk, as is present for all websites and platforms.


Warranty and Liability

Warranty: We deliver the platform "as-is" without express or implied warranty, except that we strive to deliver a functional and secure platform.

Liability limitation: DataMatter ApS' liability is limited to the amount you have paid for the subscription in the last 12 months. We are not liable for:

  • Indirect damages, loss of profit, or loss of data
  • Damages resulting from third-party services or external factors
  • Damages resulting from your use or misuse of the platform
  • Damages resulting from lack of backup or data processing from your side

Mail Services and Communication

Beautydanmark / DataMatter ApS offers mail services via the platform.

Communication types: This mail service is used to send:

  • System information and important updates
  • News about the platform and new features
  • Support-related messages
  • Marketing communication about our services and products
  • Information about additional optional services

Consent: By purchasing a license and activating your profile, you accept to be contacted by email or by phone by us in connection with the above purposes.

Opt-out: You can at any time opt out of marketing communication by contacting us at info@beautydanmark.dk or by using the unsubscribe link in our emails. System information and important updates cannot be opted out, as these are necessary to deliver the service.


Service Changes

We reserve the right to:

  • Update and improve platform features
  • Change the platform's design and user interface
  • Add or remove features with 30 days notice for significant changes
  • Add or remove features immediately if they present a critical operational or security issue

Cancellation right for significant changes: If a significant change negatively affects the service, you have the right to cancel your subscription with immediate effect and with a refund, within 30 days after notice. See the Subscription Terms for details on refunds.


Data Ownership and Intellectual Property Rights

Your content:

  • You own all data and content you upload to the platform (images, texts, prices, etc.)
  • You purchase a license from us, which gives you the opportunity to display your content on the platform
  • You grant us a non-exclusive license to display, host, and distribute your content on the platform
  • Upon cancellation, you can export your data before the cancellation date

Our content:

  • The platform gives your company the opportunity to upload images to the platform. The responsibility for the use of these images therefore falls on the company, and not on DataMatter ApS.
  • To avoid potential rights issues, which in the worst case can lead to lawsuits or fines for the original rights holder of the media, we recommend that you use your own images that you have taken yourself, or images and media that you have had produced and can document the origin of.
  • If DataMatter ApS receives summons or charges in connection with the use of copyrights for media, these charges will be forwarded to the company that has used them, and the media will be removed from the platform.
  • The platform's design, code, functionality, and trademarks belong to DataMatter ApS
  • Search data and anonymized usage statistics belong to DataMatter ApS
  • You may not copy, modify, or distribute the platform's code or design

User-generated content: You are responsible for ensuring that all content you upload does not infringe on third parties' intellectual property rights, trademarks, or copyrights. You are liable for any claims from third parties as a result of your content.


Acceptable Use

Permitted use: You may use the platform to display and promote your company and your services in accordance with these terms.

Prohibited activity: You may not:

  • Upload harmful content, malware, or viruses
  • Upload illegal content or content that infringes on third parties' rights
  • Upload spam, phishing content, or misleading information
  • Upload images of nude persons or otherwise pornographic or offensive content
  • Misuse the platform for spam, phishing, or other harmful activity
  • Attempt to hack, circumvent security measures, or gain unauthorized access
  • Use the platform to compete with us or copy our business model
  • Resell or share your access to the platform with third parties
  • Use the platform in a way that may damage our reputation or the platform's integrity

Consequences of violation: In case of violation of these rules, we may:

  • Warn you and require that you correct the violation
  • Temporarily suspend your account
  • Permanently cancel your account without refund
  • Report illegal activity to authorities

Account Suspension and Cancellation from Our Side

In serious situations, DataMatter ApS will make compensation claims and take legal action in case of harmful misuse.

We reserve the right to suspend or cancel your account with immediate effect without refund in the following cases:

Grounds for suspension/cancellation:

  • Violation of these terms of trade or the acceptable use policy
  • Missing payment after the notice period (see Subscription Terms)
  • Illegal activity or misuse of the platform
  • Infringement of third parties' rights
  • Attempts to hack or circumvent the platform's security
  • Misleading or false information about your company
  • Activity that damages our reputation or the platform's integrity

Notice: In case of suspension or cancellation, we will notify you by email to the registered email address. In case of serious violations, suspension may occur with immediate effect without prior notice.

After suspension/cancellation:

  • Your store is immediately removed from the platform
  • You lose access to the platform and your data
  • You have 30 days to export your data after cancellation. After the 30 days, all data from your account and created stores will be permanently deleted.
  • No refund is provided for the remaining subscription period

Rights and Licenses

Our rights: All rights to the platform's content, design, code, and functionality belong to DataMatter ApS.

Your license: You receive a non-exclusive, non-transferable license to use the platform during the subscription period to display and promote your company.

Restrictions: You may not:

  • Copy or distribute the platform's content, code, or design
  • Resell or share access to the platform with third parties
  • Use the platform for illegal purposes
  • Attempt to circumvent the platform's security measures
  • Reverse-engineer or decompile the platform's code
  • Use our trademarks or logos without written permission

License duration: The license is only valid as long as your subscription is active and automatically expires upon cancellation or suspension.


Personal Data

We collect the following information:

  • Company name and CVR number
  • Contact person and email
  • Phone number
  • Store information and addresses
  • Payment information (handled by QuickPay/Clearhaus)
  • User activity on the platform
  • Cookies for functionality

We only use your data to deliver and improve our services in accordance with GDPR.

Data Export and Retention

Data export: Upon cancellation, you have the right to export your data before the cancellation date. Data export includes:

  • Store information and profile data
  • Uploaded images and media files
  • Texts and descriptions
  • Prices and product information

Export format: Data can be copied directly from your dashboard.

Export deadline: You have 30 days after the cancellation date to export your data. After this period, data may be permanently deleted.

Data retention after cancellation: We retain your data for up to 90 days after the cancellation date to enable data export. After this period, your data will be permanently deleted, unless we are required to retain it in accordance with legislation (e.g., accounting legislation).

Accounting legislation: In accordance with Danish accounting legislation, we retain billing data for 5 years after the last invoice.


Ads and Third-Party Advertising

Currently, Beautydanmark.dk does not use external third-party advertising.

We reserve the right to display sponsored content in the future on the website. Upon introduction of sponsored content, we will notify all partners with 30 days notice.


Force Majeure

DataMatter ApS is not liable for failure to fulfill obligations due to circumstances beyond our control, including:

  • Natural disasters, war, or acts of terrorism
  • Power outages or telecommunications failures
  • Cyber attacks or security breaches at third parties
  • Government orders or legislative changes
  • Strikes or lockouts
  • Pandemics or public health crises
  • Failures at third-party providers that we cannot influence

We will strive to resume normal operations as quickly as possible after a Force Majeure event.


Third-Party Services

The platform uses the following third-party services:

  • QuickPay/Clearhaus for payment processing (payment gateway and acquirer)
  • Hosting providers for server infrastructure and data storage
  • Email services for communication

We are not responsible for outages or errors from third-party providers, but we work to minimize the impact of such incidents. In case of extended problems with third-party providers, we will inform you and seek alternative solutions where possible.


Complaints and Support

If you experience errors or problems with the service, please contact us as soon as possible.

Support: We strive to resolve all inquiries within 48 hours on weekdays. For critical problems that affect your store's availability, we strive to respond within 24 hours.

  • Description of the problem
  • Time of the problem
  • Screenshots or documentation, if relevant

Changes to Terms of Trade

We reserve the right to change these terms of trade from time to time.

Notice: For significant changes, we will notify you at least 30 days in advance by email to the registered email address.

Acceptance: Continued use of the platform after the notice period is considered acceptance of the changed terms. If you do not accept the changed terms, you must cancel your subscription within the notice period.

Minor changes: Minor changes, corrections, or updates may be made without notice, but will be documented in the version history at the bottom of the document.


Assignment and Transfer of Rights

From your side: You may not assign or resell your rights or obligations under these terms to third parties without our written consent.

From our side: We reserve the right to assign our rights and obligations to a third party in connection with merger, acquisition, or sale of the company. Upon such assignment, we will inform you with 30 days notice, and your rights under these terms will continue.


Governing Law and Dispute Resolution

Governing law: These terms of trade are subject to Danish law.

Dispute resolution: Any disputes must first be sought resolved through direct negotiations between the parties. If a solution cannot be reached within reasonable time, the dispute must be resolved by Danish courts.

Venue: As a general rule, disputes must be resolved at the court in Kalundborg, unless Danish law requires otherwise.

Mediation: Before legal proceedings, the parties may choose to use mediation or other alternative dispute resolution, if both parties agree.
